Constitution Review 2025

Summary of Changes:
Proposed New Constitution 2025

In line with the requirements of the Incorporated Societies Act 2022, we are required to re-register the Whangamata Club Incorporated with an updated Constitution.


This new draft has been prepared using the Club's New Zealand model constitution, which was developed in consultation with legal experts to ensure full compliance with the new legislation. We have made some minor modifications to tailor the document to suit the unique operations and needs of our Club.

The new Constitution will be presented as an Executive Remit for Member approval at the Annual General Meeting (AGM) on Sunday, 13th July 2025.

​

Key changes include:

  • Updated structure and clearer definitions.

  • Introduction of two new membership classes: Introductory Members and Employee Members.

  • Stronger governance standards, including conflict of interest registers and privacy compliance.

  • Modernised election processes, allowing electronic voting.

  • More detailed disciplinary and appeal procedures to ensure fairness and natural justice.

  • Financial thresholds updated to reflect the Club’s growth

  • Ability to manage Club affairs and meetings via electronic means.​

A full copy of the Draft Constitution is now available for review.

If members have any queries or wish to provide feedback, please submit these in writing to the Manager no later than 31st May 2025.
